Terms of Service

1. Acceptance of Terms
By accessing and using the services provided by Solstice Technology ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.
2. Description of Services
Solstice Technology provides professional IT services including but not limited to:
- Infrastructure Design & Deployment
- Compliance & Risk Consulting (PCI DSS, GDPR, SOC 2, SOX, CCPA)
- Operational Optimization
- Fortinet Professional Services
- Managed NOC (Network Operations Center) Services
- Cloud Migration and Management
- Disaster Recovery Planning
- Security Implementation and Monitoring
3. Service Agreements
Specific terms for individual services will be outlined in separate Service Level Agreements (SLAs) or Statements of Work (SOWs). These Terms serve as the general framework for all services provided by Solstice Technology.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Maintain appropriate security measures for your systems
- Comply with all applicable laws and regulations
- Provide timely access to systems and personnel as required
- Maintain backups of critical data
- Notify us promptly of any security incidents or system changes
5. Payment Terms
Payment terms will be specified in individual service agreements. Generally:
- Invoices are due within 30 days of receipt
- Late payments may incur a service charge of 1.5% per month
- Services may be suspended for non-payment after 60 days
- All fees are non-refundable unless otherwise specified
6. Confidentiality and Data Protection
We are committed to protecting your confidential information and will:
- Maintain strict confidentiality of all client data
- Implement appropriate security measures to protect sensitive information
- Comply with applicable data protection regulations (GDPR, CCPA, etc.)
- Not disclose client information to third parties without written consent
- Return or securely destroy client data upon service termination
7. Intellectual Property
All intellectual property rights in our services, methodologies, and tools remain the property of Solstice Technology. Client retains ownership of their data and systems. Any custom solutions developed specifically for a client may be subject to separate intellectual property agreements.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the total amount paid by the client in the 12 months preceding the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for damages resulting from client's failure to follow our recommendations
- Force majeure events are excluded from our liability
9. Service Level Commitments
Service level commitments will be detailed in individual SLAs. Generally, we commit to:
- Respond to critical issues within 1 hour during business hours
- Provide 24/7 support for managed services clients
- Maintain 99.9% uptime for managed infrastructure services
- Complete projects within agreed timeframes
10. Termination
Either party may terminate services with 30 days written notice. We may terminate services immediately for:
- Non-payment of fees
- Breach of these Terms
- Illegal or unethical use of our services
- Failure to comply with security requirements
11. Compliance and Regulatory Requirements
Our services are designed to help clients meet various compliance requirements including:
- PCI DSS (Payment Card Industry Data Security Standard)
- HIPAA (Health Insurance Portability and Accountability Act)
- SOC 2 (Service Organization Control 2)
- GDPR (General Data Protection Regulation)
- SOX (Sarbanes-Oxley Act)
- CCPA (California Consumer Privacy Act)
However, ultimate compliance responsibility remains with the client.
12. Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the modified Terms.

16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

These Terms, together with any applicable SLAs or SOWs, constitute the entire agreement between you and Solstice Technology regarding the use of our services.
